Service Terms

1. Scope of Application

These General Service Terms govern the provision of technology consulting, software development, digital transformation, and support services offered by Thinka SpA (hereinafter, Stack Digital) to its clients. All services shall be governed by these terms unless otherwise agreed in writing.

2. Proposal and Acceptance

Service delivery begins once the Client accepts a commercial or technical proposal issued by Stack Digital. The proposal will define the service scope, execution timeline, deliverables, and budget. Acceptance may be formalized by signature, purchase order, or confirmation through a corporate email.

3. Working Methodology

Stack Digital applies agile methodologies and international quality standards in the execution of its projects. The Client agrees to collaborate actively by providing the information and access required for proper delivery of the service.

4. Billing and Payment Terms

Fees for services will be invoiced according to the accepted proposal. Unless otherwise agreed, invoices will be issued upon completion of milestones or monthly for recurring services. The standard payment term is 30 days from the invoice issue date, payable by electronic transfer to the bank account of Thinka SpA.

5. Ownership of Deliverables

Once full payment for the services has been received, the Client acquires ownership of the specific deliverables developed on an ad hoc basis. Stack Digital retains all intellectual property rights over its methodologies, pre-existing tools, and base software components developed prior to or independently from the project.

6. Warranty and Support

Stack Digital warrants that services will be delivered with due professional care and in accordance with the agreed technical specifications. Unless a different period is established in the applicable agreement or support plan, bug-fix coverage is included for 3 months following final delivery.

7. Termination

Either party may terminate the contract in the event of a material breach by the other party, subject to written notice and a 15-day cure period. If the Client elects early termination for convenience, the Client must pay for all services effectively rendered up to the termination date.

8. Jurisdiction

Any dispute arising from the interpretation or performance of these terms shall be submitted to the ordinary courts of Santiago, Chile.
